Terms of Service

Welcome to Paireeo! These Terms of Service ("Terms") govern your access to and use of Paireeo's website, platform, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and all other policies referenced herein. If you do not agree with any part of these Terms, you may not access or use the Service.

1. Acceptance of Terms

By creating an account, consigning an item, or otherwise using the Paireeo Service, you affirm that you are at least 18 years old and capable of entering into a binding contract, and that you agree to be bound by these Terms.

2. Paireeo Service Description

Paireeo is a platform that connects individuals ("Consignors") wishing to sell items on consignment with merchants and storefronts ("Merchants"). The Service facilitates the submission of items by Consignors, their management by Merchants, and the subsequent listing and sale of these items. Paireeo forwards item details to Merchant storefronts and inventory software. Each consignment managed through Paireeo pertains to a single item.

3. Account Registration and Security

  1. Consignor Accounts: To use certain features of the Service as a Consignor, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

  2. Merchant Accounts: Merchants register for accounts to manage consigned inventory, integrate with their storefronts, and process payouts. Merchant accounts are subject to separate agreements and verification processes.

4. Consignment Process (for Consignors)

  1. Item Submission: Consignors can submit details about a single item they wish to consign, including descriptions, photos, and desired payout ("asking price"). You represent and warrant that you are the legal owner of all items submitted and have the right to consign them.

  2. Merchant Acceptance: Merchants review submitted items. Acceptance is at the sole discretion of the Merchant, based on factors such as condition, authenticity, brand fit, and market demand.

  3. Delivery: Once an item is accepted by a Merchant, the Consignor is responsible for securely delivering the item to the Merchant. Paireeo may facilitate shipping labels or provide drop-off instructions.

  4. Listing and Sale: Upon receipt and acceptance, the Merchant will list the item on their storefront. The Merchant determines the final selling price.

  5. Payout: When an item sells, Paireeo facilitates the payment process. Consignors receive their agreed-upon payout ("asking price") as specified in the consignment agreement for that item, minus any applicable Paireeo fees or Merchant commissions. Payout processing times may vary.

5. Fees and Payouts

  1. Consignor Payouts: For each sold item, the Consignor will receive the `consignment.asking_price` as agreed upon during the consignment submission process, subject to any deductions for agreed-upon fees or commissions as specified in your consignment agreement with Paireeo and/or the Merchant.

  2. Merchant Fees: Merchants pay fees for using Paireeo's services as outlined in their separate Merchant Agreement.

  3. Payment Processing: All payments are processed through secure third-party payment processors. Paireeo is not responsible for any delays or issues caused by these processors.

6. Storage and Returns

  1. Free Storage Period: Merchants may offer a free storage period for accepted items. You will be notified if this period is nearing its end.

  2. Storage Fees: After the free storage period, Merchants may apply storage fees for unsold items, as outlined in their specific consignment terms.

  3. Rejected Items/Returns: If an item is rejected or remains unsold after a specified period, the Consignor will be responsible for arranging its return from the Merchant within a specified timeframe. Failure to do so may result in the item being donated or disposed of.

7. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose or in any way that violates any applicable local, state, national, or international law.

  • Submit items that are counterfeit, stolen, illegal, or do not conform to the Merchant's acceptance criteria.

  • Interfere with or disrupt the operation of the Service or the servers or networks connected to the Service.

  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or any systems or networks connected to the Service.

8. Intellectual Property

All content on the Paireeo Service, including text, graphics, logos, images, and software, is the property of Paireeo or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content from the Service without express written permission from Paireeo.

9. Disclaimers and Limitation of Liability

  1. "As Is" Basis: The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Paireeo does not warrant that the Service will be uninterrupted, error-free, or secure.

  2. Merchant Responsibility: Paireeo is not responsible for the actions or inactions of any Merchant, including but not limited to their handling of items, listing accuracy, or payout timing (beyond our processing obligations).

  3. Consignor Responsibility: Consignors are responsible for the accuracy of item submissions, legal ownership, and safe delivery.

  4. Limitation of Liability: To the fullest extent permitted by law, Paireeo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content.

10. Indemnification

You agree to indemnify, defend, and hold harmless Paireeo, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with (a) your access to or use of the Service; (b) your violation of these Terms; (c) your submission of items (including claims of ownership or authenticity); or (d) any dispute between you and a Merchant or another user.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of [Your State/Country], without regard to its conflict of laws principles. Any disputes arising from or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in [Your City, Your State/Country].

12. Changes to Terms

Paireeo reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
